ClubTree Terms of Service

Introduction
These Terms govern your use of the ClubTree platform, operated by MW Global LLC, doing business as ClubTree. By using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. Definitions
- "Service" means the ClubTree platform and related services.
- "Organization" means any club, nonprofit, or association using the Service.
- "Administrator" means an authorized account manager.
- "Member" means an individual whose information is maintained by an organization.
- "Content" means information uploaded to the Service.
2. Eligibility
You must be at least 18 years old or otherwise legally capable of entering into a binding agreement.
3. The Service
ClubTree provides cloud-based software for websites, memberships, applications, attendance, events, communications, newsletters, leadership management, and related organizational activities. Features may change over time.
4. Independent Platform
ClubTree is an independent software platform operated by MW Global LLC and is not owned by or affiliated with Rotary International unless expressly stated.
5. Accounts and Security
Users are responsible for safeguarding account credentials. Organizations are responsible for managing administrators and permissions and removing access for former users.
6. Organization Responsibilities
Organizations are responsible for the legality and accuracy of their content, compliance with applicable laws, obtaining permissions, and managing member information.
7. Acceptable Use
Users may not violate laws, access unauthorized data, interfere with the Service, reverse engineer the software, scrape data, upload malware, send spam, impersonate others, or upload unlawful content.
8. Software License
ClubTree grants a limited, non-exclusive, non-transferable, revocable license to use the Service. No ownership rights are transferred.
9. Organization Content and Data Ownership
Organizations retain ownership of their content. ClubTree receives a limited license to host, process, display, transmit, back up, and maintain content solely to operate and improve the Service.
10. ClubTree Intellectual Property
The software, source code, interface, documentation, APIs, branding, and trademarks are owned by MW Global LLC or its licensors.
11. Feedback
Feedback may be used by ClubTree without restriction or compensation.
12. Fees and Subscriptions
Pilot programs may be governed by separate agreements. Future paid subscriptions will include separate pricing and billing terms.
13. Third-Party Services
ClubTree integrates with third-party providers such as hosting, email, accounting, and payment providers, each governed by its own terms.
14. Beta Features
Beta and pilot features may change or be discontinued at any time and are provided "AS IS".
15. Service Availability
Availability is not guaranteed. Maintenance or circumstances beyond our control may affect the Service.
16. Security Responsibilities
Organizations remain responsible for administrator management, password security, and user access.
17. Suspension and Termination
ClubTree may suspend or terminate accounts for violations, non-payment, unlawful activity, security concerns, or legal requirements. Organizations may discontinue use at any time.
18. Data Export
Organizations may request an export of available data before account closure, subject to technical and legal limitations.
19. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. ClubTree provides software only and does not provide legal, accounting, tax, financial, or professional advice.
20. Limitation of Liability
To the fullest extent permitted by law, ClubTree is not liable for indirect, incidental, consequential, or punitive damages. Total liability is limited to the greater of fees paid in the previous 12 months or US $100.
21. Indemnification
Organizations agree to indemnify MW Global LLC against claims arising from their content, handling of personal information, violations of law, or these Terms.
22. Force Majeure
ClubTree is not liable for failures caused by events beyond its reasonable control, including natural disasters, internet outages, cyberattacks, and failures of third-party providers.
23. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, with exclusive jurisdiction in Virginia courts.
24. Entire Agreement
These Terms, together with the Privacy Policy and any written subscription agreement, constitute the entire agreement.
25. Severability
If one provision is unenforceable, the remaining provisions remain effective.
26. Assignment
ClubTree may assign these Terms in connection with a merger, acquisition, financing, or sale of assets. Organizations may not assign their rights without written consent.
27. Waiver
Failure to enforce any provision is not a waiver of future enforcement.
28. Changes
We may update these Terms periodically. Continued use after changes become effective constitutes acceptance.
